These Terms of Service ("Terms") govern access to and use of Crang (crang.ai), a white-label AI call center platform for inbound and outbound AI voice calls, provided by N32 Technologies sp. z o.o. ("N32", "we", "us").
Please read these Terms carefully. They contain a no-refund policy (section 13), limits on N32's liability (section 23), an obligation for the Customer to redress damage and hold N32 harmless (section 24) and an exclusive choice of Polish law and Warsaw courts (section 31).
1Definitions
In these Terms, the following words have these meanings:
1.1. Agreement: these Terms together with the Acceptable Use Policy, the Data Processing Agreement, the Order and any written agreement signed by N32 and the Customer that refers to these Terms.
1.2. Acceptable Use Policy or AUP: N32's Acceptable Use Policy published at crang.ai/acceptable-use, as updated under section 26.
1.3. Agent: an AI voice agent in the Customer's Workspace that makes or answers Calls for a specific purpose, as defined by its Agent Configuration. Each Agent uses one Agent Slot.
1.4. Agent Configuration: the settings that define what an Agent says and does on Calls, including its name, voice, first message, languages, rules, workflow, knowledge base documents, transfer destinations, data to capture and success criteria, in each of its draft and published versions.
1.5. Agent Slot: the right to keep one Agent in the Workspace. Every Plan includes two Agent Slots. Each additional Agent Slot is unlocked by a one-time purchase in the Service.
1.6. AI Output: anything generated by the Service using artificial intelligence, including Agent speech and responses, transcripts, summaries, extracted data, evaluations, sentiment, insights and analytics.
1.7. Authorized User: an individual whom the Customer invites to, or allows to use, its Workspace, including its employees and contractors.
1.8. Call: an inbound or outbound voice call made, answered or handled through the Service, including a test Call or a test conversation in the browser.
1.9. Contact: a person whose details the Customer uploads to the Service, or who calls or is called by an Agent of the Customer.
1.10. Customer, you: the business entity that accepts these Terms at signup or otherwise enters into the Agreement with N32.
1.11. Customer Content: the content that the Customer or its Authorized Users, or N32 personnel at the Customer's request, write, upload or enter in the Service, including the texts, instructions, rules, lists, transfer destinations and data fields of its Agent Configurations, and its knowledge base documents, excluding N32 Materials.
1.12. Customer Data: data that the Customer or its Authorized Users upload to or enter in the Service, including Customer Content, and Call recordings, transcripts and AI Output relating to the Customer's Calls, excluding N32 Materials.
1.13. Data Processing Agreement or DPA: N32's Data Processing Agreement published at crang.ai/dpa.
1.14. Launch: the moment the Customer's Agents first take real Calls after setup, also called go-live. The Subscription does not wait for Launch. Launch Date is the date of Launch.
1.15. N32 Materials: the Service; Agent templates; the prompts, instructions, workflow designs, default rules, tools and default settings that N32 provides or uses, including those included in an Agent Configuration from a template or by N32; the way the Service turns an Agent Configuration into a working Agent; all software, models, documentation and know-how provided or used by N32; and all improvements and derivatives of them, in each case excluding Customer Content.
1.16. Order: the plan, billing cycle, prices, discounts and taxes shown to the Customer in the signup summary and at checkout, and any later purchase made in the Service.
1.17. Service: the Crang platform and all related services provided by N32 under the Agreement, including the Setup Services, the Workspace, the Agents, the tenant application and any APIs.
1.18. Plan: Starter, Growth, Scale or Enterprise, as shown in the Order, with its monthly Talk Minutes and the number of Calls that can run at the same time.
1.19. Setup Services: the onboarding and setup work that N32 performs before Launch, described in section 6.
1.20. Subscription: the Customer's recurring paid plan for the Service, on a monthly or annual billing cycle.
1.21. Subscription Period: each monthly or annual period for which the Subscription fee is billed.
1.22. Talk Minutes: minutes of connected conversation on Calls, measured by the Service.
1.23. Workspace: the Customer's dedicated instance of the Service on its own subdomain of crang.ai.
2Acceptance and authority
2.1. The Agreement is concluded when the Customer completes signup, ticks the acceptance boxes and pays the first Subscription fee. By ticking the acceptance boxes, creating an account or using the Service, the Customer agrees to the Agreement.
2.2. The individual who accepts these Terms confirms that they are authorized to bind the Customer. If they are not authorized, they are liable to N32 for any resulting damage.
2.3. The Agreement is concluded in electronic form. The Customer agrees that acceptance by ticking boxes and paying online, and notices sent by email, satisfy any requirement for written or documentary form to the extent permitted by law.
3Business customers only
3.1. The Service is offered only to businesses. It is not offered to consumers.
3.2. The Customer confirms and warrants that: (a) it acts in the course of its business, trade or profession; (b) the Agreement is directly connected with its business activity and is of a professional nature for it, because the Customer uses the Service to communicate with its own customers, leads or business contacts; and (c) it is not a consumer and does not act as a consumer, including as a sole trader acting outside its professional activity.
3.3. Subject to section 3.4, consumer protection rules do not apply to the Agreement.
3.4. Sole traders. If the Customer is a natural person running a business (a sole trader) and the Agreement is nevertheless not of a professional nature for that person, the mandatory protections that Polish law gives such persons apply to that Customer and prevail over any conflicting provision of the Agreement. These include the rules on prohibited contract terms (Article 385⁵ of the Polish Civil Code) and the rights given to such persons by the Polish Consumer Rights Act of 30 May 2014, including the right to withdraw from a distance contract on the terms of that Act. All other provisions of the Agreement remain in force.
3.5. If any statement in section 3.2 is untrue, the Customer is liable to N32 for any resulting damage.
4Account and Authorized Users
4.1. The Customer must provide accurate, complete and current information at signup and keep it up to date, including its legal name, country, billing address and tax identification number.
4.2. Sign-in uses one-time codes sent by email. The Customer is responsible for the security of the email accounts of its Authorized Users and for all activity in its Workspace, whether or not authorized by the Customer.
4.3. The Customer is responsible for its Authorized Users and for their compliance with the Agreement. Any act or omission of an Authorized User is treated as an act or omission of the Customer.
4.4. The Customer must notify N32 at support@crang.ai without undue delay if it suspects unauthorized access to its Workspace.
5The Service
5.1. The Service lets the Customer run outbound and inbound AI voice Calls with its Contacts using Agents that the Customer configures in the Service, manage contact lists and do-not-call lists, and review Call recordings, transcripts, summaries and analytics.
5.2. The Service is provided by N32 using its own systems and third-party technology and infrastructure providers chosen by N32. N32 may add, replace or remove providers at its discretion, subject to the DPA.
5.3. Features shown as "Coming soon", beta, preview or similar are not part of the Service until N32 releases them, are provided as is, and may be changed or withdrawn at any time.
5.4. To use the Service the Customer needs a device with internet access, a current version of a common web browser with JavaScript and cookies enabled, and an email account. For Calls, the Customer needs a telephony account and phone numbers as described in section 8.
5.5. N32 may change, improve or discontinue features of the Service at any time, provided that it does not materially reduce the core functionality of the Service during a paid Subscription Period.
5.6. Agent Configurations. The Workspace's account owners and administrators, and N32 personnel under section 7.3, can create, edit, test and publish Agent Configurations in the Service, within the Customer's Agent Slots. Editing is included in the Subscription and is not charged separately. Changes are saved as a draft and take effect on Calls only when published; earlier published versions can be restored. Templates and suggestions offered by N32 are starting points only. The Customer is responsible for every Agent Configuration published in its Workspace, whoever prepared it, including changes made by N32 personnel at the Customer's request.
6Setup Services and Launch
6.1. After signup, N32 performs the Setup Services at no separate charge. They include an onboarding call, help with the design, configuration and testing of up to two Agents, configuration of the Workspace and test Calls. Every Plan includes two Agent Slots. Each additional Agent Slot is unlocked by a one-time purchase at the price shown in the Service; it adds one Agent Slot, carries no recurring fee and stays available while the Agreement is in force.
6.2. N32 decides how the Setup Services are performed and how it helps configure Agents. Any timeline mentioned by N32, on the website, in emails or during onboarding, is a non-binding estimate. N32 does not commit to any setup time, delivery date or Launch Date.
6.3. Launch requires the Customer's cooperation, including timely information and approvals, a ready knowledge base and a connected telephony account. Delays caused by the Customer or its providers are the Customer's responsibility.
6.4. The Customer must review, test and approve each Agent Configuration, including the Agent's voice, language, tone and behavior, before Launch and before publishing any change. Final approval of Agent behavior and Call content is the Customer's responsibility. Launch, the publication of an Agent Configuration, or the Customer's use of an Agent for live Calls is the Customer's acceptance of the Setup Services and of that Agent.
6.5. N32 may refuse, require changes to, unpublish or disable any Agent Configuration or content that in N32's opinion breaches the Agreement or applicable law, relates to another brand, or creates legal, reputational or security risk.
6.6. If the Customer does not provide what N32 reasonably needs for Launch within 90 days after signup, N32 may treat the Setup Services as completed. Subscription fees are not refunded for that reason.
6.7. Setup not delivered by N32. If the Customer has provided everything N32 reasonably needs for Launch (including approved Agent Configurations, a ready knowledge base and a connected telephony account) and N32 does not complete the Setup Services within a reasonable time, for reasons attributable solely to N32, the Customer may give N32 written notice setting an additional period of at least 30 days to complete them. If N32 does not complete the Setup Services within that additional period, the Customer may terminate the Agreement by notice and N32 will refund the Subscription fee paid for the current Subscription Period. This refund is the Customer's sole remedy for non-delivery of the Setup Services.
7Workspace and one brand
7.1. Each Subscription includes one Workspace on one subdomain for one brand. Agents, Agent Configurations, campaigns and the knowledge base of a Workspace may relate only to that brand. Each additional brand requires a separate Workspace and Subscription.
7.2. The brand name and website are locked after Launch. Changes require N32's prior approval.
7.3. N32 personnel may access the Workspace, including with owner-level permissions, to provide setup, support, maintenance and security, to prepare or change Agent Configurations at the Customer's request, and to check compliance with the Agreement. Such access is recorded in the Workspace's audit log.
8Telephony
8.1. Unless N32 agrees otherwise in writing, Calls are placed from phone numbers and a telephony account registered to the Customer's own legal entity. The Customer gives N32 the access credentials needed to operate Calls and configure numbers on its behalf, and authorizes N32 to do so.
8.2. The Customer is solely responsible for its telephony account and numbers, including: (a) all charges of its telephony provider for numbers, Calls, messages and other services, which are billed by that provider directly to the Customer and are not included in N32's fees; (b) compliance with the telephony provider's terms, identity verification, number registration, caller ID and call authentication rules; and (c) charges caused by fraud, misuse or misconfiguration of its telephony account, unless caused by N32's intentional misconduct.
8.3. N32 is not responsible for the acts, omissions, outages, blocking, number suspension, spam labeling or call filtering of telephony providers, carriers or networks.
8.4. If N32 agrees in writing to provide phone numbers or telephony to the Customer, the Customer remains responsible for the lawful use of those numbers and for the obligations in sections 8.2 and 9, and pays the charges agreed for them.
8.5. No emergency calls. The Service is not a telephone service and cannot be used to call or receive calls from emergency services. Agents do not route callers to emergency services. The Customer must make sure that its callers and Contacts can reach emergency services by other means.
9Customer responsibility for Calls and compliance
9.1. The Customer is the party that makes and receives the Calls and decides whom to call, when, why and with what content. The Customer is solely responsible for its Calls, its Contacts and Customer Data, and for compliance with all laws that apply to them, in every country where the Customer or its Contacts are located.
9.2. Without limiting section 9.1, the Customer is solely responsible for: (a) having a valid lawful basis and every consent required to call each Contact, including prior express (written) consent for automated, artificial or AI voice calls and telemarketing calls where the law requires it, such as under the US Telephone Consumer Protection Act and similar laws; (b) checking and honoring national and internal do-not-call registers and lists, opt-out requests and permitted calling hours; (c) giving all information and obtaining all consents required for call recording, transcription and AI analysis, including in jurisdictions that require consent of all parties; (d) complying with laws that require disclosure that a call is automated or made by AI, and with rules on caller identification; (e) having a lawful basis under the GDPR and other data protection laws for processing personal data of Contacts, and giving them the required privacy information; (f) complying with sector rules that apply to the Customer, including rules on marketing, gambling, financial services, health, debt collection and licensing; and (g) the accuracy and lawfulness of all information Agents give on its behalf, including information in its knowledge base and Agent Configurations.
9.3. The Service includes tools such as do-not-call lists, calling windows and automatic opt-out capture. These tools support compliance but do not ensure it. Their correct configuration and use is the Customer's responsibility.
9.4. AI disclosure. For the purposes of Regulation (EU) 2024/1689 (the "AI Act"), the Customer is the deployer of the Agents it uses for its Calls. The Customer is responsible for informing each Contact that they are interacting with an AI system, as required by Article 50 of the AI Act and other applicable laws. N32 provides the means to do so: the Service makes each Agent open each Call with an AI disclosure line, which is part of every Agent Configuration. The Customer must not remove, weaken or work around this disclosure, or ask N32 to do so, must not otherwise present an Agent as a human, and must give Contacts any further information the law requires.
9.5. The Customer must comply with the Acceptable Use Policy at all times.
10AI Output and no guarantee of results
10.1. The Customer acknowledges that AI technology is probabilistic and that AI Output may be inaccurate, incomplete, inappropriate, offensive or inconsistent with the Agent Configuration or instructions, may misunderstand callers, languages or accents, and may differ between Calls.
10.2. The Customer is responsible for reviewing AI Output and for any decision or action it takes based on AI Output. AI Output is not legal, financial, medical or other professional advice. The Customer must not use AI Output as the sole basis for decisions with legal or similarly significant effects on individuals.
10.3. N32 does not guarantee any outcome of Calls, including the number of Calls connected, answer or connect rates, conversions, sales, appointments, revenue, savings, customer satisfaction or any other business result. Statistics, estimates, calculators and examples on N32's website or in sales materials are illustrative only and are not commitments.
11Fees and payment
11.1. Prices. The current list prices, exclusive of taxes, are: (a) Starter: USD 399 per month, or USD 3,830 per year; 450 Talk Minutes per month; up to 2 Calls at the same time; (b) Growth: USD 799 per month, or USD 7,670 per year; 1,000 Talk Minutes per month; up to 5 Calls at the same time; (c) Scale: USD 1,999 per month, or USD 19,190 per year; 2,800 Talk Minutes per month; up to 10 Calls at the same time; (d) Enterprise: a price, Talk Minutes and number of simultaneous Calls agreed with N32 in writing or in the Order; (e) minute packs: USD 89 per 100 Talk Minutes, on every Plan; (f) no setup fee is charged. Prices for additional Agent Slots and other extras are shown in the Service at the time of purchase. The prices and discounts shown in the Order prevail.
11.2. Plan changes. The Customer can move to a higher Plan, or from monthly to annual billing, in the Service at any time. The price difference for the rest of the paid Subscription Period is charged at once in proportion to the time left, and the additional Talk Minutes of the higher Plan are added for the rest of the month in the same proportion. A move to a lower Plan, or from annual to monthly billing, takes effect at the end of the current paid Subscription Period. Enterprise terms are changed by agreement with N32.
11.3. Subscription. The Subscription starts at signup, and the first Subscription fee is charged then. There is no trial period. Subscription fees are billed in advance at the start of each Subscription Period, for the full Subscription Period.
11.4. Promotion codes. A promotion code may reduce only the first payment and only as stated in the Order at checkout. Promotion codes have no cash value, cannot be exchanged, transferred or combined unless N32 says otherwise, may be limited in number of uses and validity, and may be withdrawn by N32 at any time before they are applied. After the discounted period, list prices apply.
11.5. Payment method. Payments are processed by Stripe. The Customer authorizes N32 to charge the payment method saved at signup, or any replacement payment method, without further confirmation, for the Subscription at signup and each renewal, for purchases made in the Service, and for any other amounts due under the Agreement. The Customer must keep a valid payment method on file.
11.6. Taxes. All prices exclude VAT and other taxes, duties and levies, which are added where required and paid by the Customer. If the reverse charge mechanism applies, the Customer accounts for the VAT. If the Customer is required by law to withhold any tax, it must increase the payment so that N32 receives the full amount it would have received without the withholding.
11.7. Invoices. Invoices and receipts are issued electronically, including through the Polish National e-Invoice System (KSeF) where the law requires it, and made available through Stripe or by email. The Customer agrees to receive them electronically.
11.8. Price changes. N32 may change its prices by giving at least 30 days' notice. New prices apply from the next Subscription Period starting after the notice period. If the Customer does not agree, it may cancel under section 15 before the new prices apply.
11.9. Payment disputes. The Customer must raise any disputed charge with N32 at info@crang.ai before starting a chargeback or payment dispute. A chargeback for an amount properly charged under the Agreement is a material breach, and the Customer must reimburse N32 for any related fees.
12Talk Minutes
12.1. Each Subscription includes the monthly number of Talk Minutes of its Plan, shown in the Order or in the Service (currently Starter 450, Growth 1,000, Scale 2,800; Enterprise as agreed). For annual Subscriptions, Talk Minutes are granted monthly.
12.2. Talk Minutes are measured in seconds of connected conversation and shown as minutes. Unanswered, busy, failed and rejected Calls and ringing time are not counted. Voicemail is counted or not counted as shown in the Service.
12.3. Included monthly Talk Minutes are used first and do not roll over. Unused included Talk Minutes expire at the end of each month.
12.4. Additional minute packs can be purchased in the Service. They are used after the included monthly Talk Minutes and do not expire while the Agreement is in force. All unused Talk Minutes, including minute packs, are forfeited without compensation when the Agreement ends.
12.5. When the Customer's balance reaches zero, new outbound Calls stop and Calls in progress are completed. Talk Minutes used by Calls in progress beyond the balance are deducted from the next allowance or minute pack.
12.6. N32's measurement of Talk Minutes is final, unless the Customer proves an obvious error.
13No refunds
13.1. All fees are non-refundable, except as set out in section 6.7, where a refund is required by mandatory law (including for a Customer covered by section 3.4), or where N32 agrees to a refund in writing. In particular: (a) not completing onboarding or never launching does not entitle the Customer to a refund, except as set out in section 6.7; (b) Subscription fees for paid Subscription Periods are non-refundable, including for partial Subscription Periods and unused Talk Minutes; (c) annual Subscription fees are not refunded pro rata if the Customer cancels or stops using the Service during the year; (d) fees for minute packs, additional Agent Slots and other purchases are non-refundable; an additional Agent Slot is non-refundable once unlocked, whether or not the Customer uses it or later deletes the Agent; and (e) no refund or credit is given for periods of suspension under sections 14 or 16.
13.2. Any proration or credit applied when the Customer changes its billing cycle is calculated by the payment system, shown before the change is confirmed, and is not a refund.
14Late payment, grace period and suspension for non-payment
14.1. If a renewal payment fails, the Customer has a grace period of 10 days (or a longer period set by N32) to pay or update its payment method. N32 may retry the charge during the grace period and will notify the Customer's account owners.
14.2. If payment is not received by the end of the grace period, N32 suspends the Workspace without further notice. During suspension, the Customer can access only the billing page and the data export tools of the Service (for personal data, section 13.2 of the DPA prevails); Calls, campaigns, inbound answering, APIs and integrations are stopped, and Agents are unassigned from the Customer's phone numbers. Access is restored after the outstanding amount is paid.
14.3. Suspension does not end the Agreement or the Customer's obligation to pay. If any amount remains unpaid 30 days after suspension, N32 may terminate the Agreement immediately by notice.
14.4. Late amounts bear statutory interest for delay in commercial transactions (odsetki ustawowe za opóźnienie w transakcjach handlowych), and N32 is entitled to a fixed compensation for recovery costs, both under the Polish Act of 8 March 2013 on counteracting excessive delays in commercial transactions. N32 may also claim reimbursement of its reasonable recovery costs exceeding that fixed compensation, including legal fees, as allowed by that Act.
15Term, renewal and cancellation
15.1. The Agreement starts when it is concluded under section 2.1 and continues until it is terminated.
15.2. The Subscription renews automatically for successive Subscription Periods of the same length unless cancelled.
15.3. The Customer can cancel at any time in the billing portal of the Service or by email to support@crang.ai from an account owner's email address. Cancellation stops renewal and takes effect at the end of the current paid Subscription Period. The Customer keeps access until then. No refund is given (section 13). Deleting the Workspace is a separate step (section 15.7).
15.4. If the Customer cancels before Launch, the Agreement ends at the end of the current paid Subscription Period (section 15.3), and no refund is given, except as set out in section 6.7.
15.5. A change from annual to monthly billing takes effect at the end of the paid year. A change from monthly to annual billing takes effect immediately.
15.6. N32 may decide not to renew the Subscription by giving at least 30 days' notice before the end of the current Subscription Period.
15.7. Deleting the Workspace. An account owner can ask for the Workspace and its Customer Data to be deleted in the Service (Settings, Privacy & data). This is the Customer's instruction to N32 to delete. A waiting period of 14 days then starts, during which any account owner can cancel the deletion in the Service. Calls, campaigns, inbound answering, APIs and integrations stop immediately when the deletion is requested. When the waiting period ends, N32 deletes the Workspace and Customer Data as described in the DPA, and the Agreement ends at that time unless it has ended earlier. The 14-day waiting period replaces the 30-day export period in section 17.2. When deletion is requested, the Subscription is set to end at the end of the current paid Subscription Period and does not renew. If the deletion is cancelled, the Subscription still ends at the end of that period unless an account owner resumes renewal in the billing portal before then. Requesting deletion does not entitle the Customer to any refund: fees for the current paid Subscription Period remain due and are not refunded (section 13), and Talk Minutes and other unused entitlements are forfeited. The Customer must export what it needs before the waiting period ends, because Customer Data cannot be recovered after deletion.
16Suspension and termination by N32
16.1. N32 may suspend all or part of the Service, immediately and without prior notice, if N32 reasonably believes that: (a) the Customer or an Authorized User breaches the Acceptable Use Policy or section 9; (b) the use of the Service creates a security risk, may harm N32, its providers, other customers or third parties, or may expose any of them to liability, regulatory action or reputational harm; (c) a regulator, court, telephony provider, carrier or technology provider requires or requests it, or Calls generate complaints, spam reports or unusual patterns; or (d) the Customer has provided false information or is subject to sanctions.
16.2. N32 will tell the Customer about a suspension and, where appropriate, what the Customer must do to lift it. N32 may keep the suspension until the cause is removed to its reasonable satisfaction.
16.3. N32 may terminate the Agreement immediately by notice if: (a) the Customer materially breaches the Agreement, including any breach of sections 3, 9 or the Acceptable Use Policy, or any payment obligation not cured under section 14; (b) the Customer breaches the Agreement in another way and does not cure the breach within 14 days after notice; or (c) the Customer becomes insolvent, enters liquidation or bankruptcy, or stops doing business.
16.4. Termination by N32 under section 16.3 does not entitle the Customer to any refund, and all fees for the current Subscription Period remain due.
17Effect of termination, data export and switching
17.1. When the Agreement ends, the Customer's right to use the Service ends, all amounts due become payable immediately, and unused Talk Minutes are forfeited.
17.2. Except where the Customer has requested deletion of the Workspace under section 15.7, for 30 days after the Agreement ends, the Customer's account owners can sign in to export Customer Data using the export tools of the Service. Where N32 has restricted Workspace access for security or legal reasons, N32 may instead provide the export in another reasonable way. After that period, N32 deletes Customer Data as described in the DPA. N32 has no obligation to keep Customer Data after that period.
17.3. Switching (EU Data Act). To the extent Regulation (EU) 2023/2854 (the "Data Act") applies to the Service, the Customer may at any time, by notice to info@crang.ai, ask to switch to another provider or to its own systems, or to export or erase its exportable data. The switching process starts at the latest 2 months after N32 receives the notice (the maximum notice period), or earlier if the Customer asks and N32 agrees.
17.4. After the notice period, within a transitional period of up to 30 calendar days, N32 will: (a) give the Customer and the providers it names reasonable assistance with switching; (b) make the exportable data available for export in a structured, commonly used and machine-readable format, using the export functions of the Service and, where needed, other reasonable means; and (c) keep providing the Service with due care, so that the switching does not interrupt it more than necessary. If 30 days is technically unfeasible, N32 will tell the Customer within 14 working days after receiving the notice, explain why, and set an alternative transitional period of no more than 7 months. The Customer may extend the transitional period once, by a period it considers more appropriate.
17.5. Exportable data means Customer Data, including Customer Content and the metadata generated by the Customer's use of the Service, such as contact lists, do-not-call lists, Call records, recordings, transcripts, AI Output, and the Customer Content of its Agent Configurations (such as its rules, instructions, lists, transfer destinations, data fields and knowledge base documents). N32 Materials, including Agent templates, N32's prompts, workflow designs and default rules, and the form in which the Service runs an Agent Configuration, are N32's trade secrets and intellectual property and are not exportable data. Where an Agent Configuration embeds N32 Materials, it is not exported as code or as a working configuration for another service; the Customer Content in it is exported. N32 informs the Customer on request about the available export formats and any known technical limitations.
17.6. The Customer has at least 30 calendar days after the end of the transitional period to retrieve its exportable data. After that period, and provided switching has been completed, N32 erases all exportable data as described in the DPA.
17.7. The Agreement ends, and N32 notifies the Customer of this, when switching is successfully completed, or, where the Customer only asks for its data to be erased, at the end of the notice period.
17.8. Switching charges. Until 12 January 2027, N32 may charge reduced switching charges not exceeding its costs directly linked to the switching process, as communicated to the Customer before the switching starts. From 12 January 2027, N32 charges no switching charges. Fees for the Service up to the end of the Agreement, including fees for the Subscription Period already paid, are not switching charges, remain due and are not refunded, to the extent the Data Act allows.
17.9. The Customer must cooperate in good faith during switching and pay all amounts due under the Agreement.
17.10. Sections that by their nature should survive termination survive it, including sections 3.5, 9, 10, 13, 14.4, 17, 19, 20, 22, 23, 24, 30 and 31.
18Customer Data and data protection
18.1. As between the parties, the Customer owns Customer Data. The Customer grants N32 a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display and adapt Customer Data, including to combine Customer Content with N32 Materials to run Agents, and to use the Customer's brand name, website and materials, as needed to provide, secure and support the Service and to comply with law.
18.2. The Customer warrants that it has all rights, consents and lawful bases needed for N32 to process Customer Data under the Agreement, and that Customer Data and its use do not infringe any third-party rights or law.
18.3. N32 processes personal data contained in Customer Data as a processor on behalf of the Customer under the Data Processing Agreement, which forms part of the Agreement. N32 processes personal data of Authorized Users and of the Customer's representatives for its own account and billing purposes as a controller, as described in the Privacy Policy at crang.ai/privacy.
18.4. N32 may collect and use technical, usage and performance data about the Service, and may create aggregated or de-identified data that does not identify the Customer or any individual, to operate, secure, analyze and improve its services. N32 owns such data.
18.5. The Customer is responsible for keeping its own backups and copies of Customer Data it needs. N32 is not liable for loss of Customer Data except as set out in section 23.
19Confidentiality
19.1. Each party must keep confidential the non-public information of the other party that it receives in connection with the Agreement and that is marked as confidential or should reasonably be understood as confidential ("Confidential Information"). N32 Materials, the identity of N32's providers and the terms of any individual offer are N32's Confidential Information.
19.2. The receiving party may use Confidential Information only to perform the Agreement, and may disclose it only to its employees, contractors, providers and advisers who need to know it and are bound by similar confidentiality obligations, or where required by law or a competent authority.
19.3. These obligations do not apply to information that is or becomes public without breach of the Agreement, was lawfully known to the receiving party before, is lawfully received from a third party without a confidentiality duty, or is independently developed.
19.4. These obligations continue for 5 years after the Agreement ends, and for trade secrets for as long as they remain trade secrets.
20Intellectual property
20.1. N32 and its licensors own all rights, including intellectual property rights, in N32 Materials. Nothing in the Agreement transfers any of these rights to the Customer.
20.2. Subject to the Agreement and payment of all fees, N32 grants the Customer a non-exclusive, non-transferable, non-sublicensable right, for the term of the Agreement, to use the Service for its internal business purposes in its Workspace.
20.3. Agent Configurations. As between the parties, the Customer owns the Customer Content in its Agent Configurations, under section 18. N32 owns the N32 Materials in them, including templates, N32's prompts, workflow designs, default rules and know-how, also where the Customer has edited or adapted them, and the Customer may use those N32 Materials only in the Service during the Agreement. N32 does not disclose its prompts or the form in which the Service runs an Agent Configuration, and does not export an Agent Configuration as code or as a working configuration for another service where it embeds N32 Materials; the Customer can export its own Customer Content as described in section 17.5. This does not give N32 any right in the Customer's brand, trademarks or Customer Data beyond section 18.
20.4. The Customer must not, and must not allow anyone to: copy, modify, translate or create derivative works of N32 Materials, except by editing its Agent Configurations in the Service as the Service intends; reverse engineer, decompile or attempt to extract source code, prompts, models or configurations; resell, sublicense, rent or provide the Service to third parties without N32's written agreement; use the Service to build a competing product; or remove any proprietary notices.
20.5. If the Customer gives N32 feedback or suggestions, N32 may use them freely without any obligation to the Customer.
21Availability, support and maintenance
21.1. N32 uses reasonable efforts to keep the Service available. The Service is provided without a service level agreement, unless N32 signs a separate written service level agreement with the Customer.
21.2. The Service may be unavailable or degraded from time to time, including for planned or emergency maintenance, updates, security measures, or because of outages of the internet, telephony networks or N32's providers. N32 is not liable for such unavailability, except as set out in section 23.
21.3. Support is provided by email at support@crang.ai on Polish business days. N32 aims to respond within one business day, but response and resolution times are not guaranteed.
22Disclaimer of warranties
22.1. The Service, the Agents and all AI Output are provided "as is" and "as available". To the fullest extent permitted by law, N32 gives no warranty, representation or condition of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, quality, accuracy, non-infringement, or that the Service will be uninterrupted, error-free or secure, or that it will meet the Customer's requirements or achieve any result.
22.2. Subject to section 3.4, the statutory warranty for defects (rękojmia) under the Polish Civil Code is excluded.
22.3. N32 does not warrant that the Service or the Customer's use of it complies with laws that apply to the Customer's business, Calls or Contacts. The Customer must obtain its own legal advice.
23Limitation of liability
23.1. N32 is liable only for damage caused by its culpable non-performance or improper performance of the Agreement, and only for actual loss (damnum emergens).
23.2. N32 is not liable for any lost profits (utracone korzyści), lost revenue, lost business or opportunities, lost or corrupted data, loss of goodwill or reputation, business interruption, or any indirect, consequential, incidental, special or punitive damages, however caused and even if N32 was told they were possible.
23.3. N32's total liability under or in connection with the Agreement, for all claims together, whether in contract, tort or otherwise, is limited to the fees actually paid by the Customer to N32 in the 12 months before the date on which the claim is first notified to N32. Telephony charges and taxes are not fees for this purpose.
23.4. N32 is not liable for: (a) the content, conduct and consequences of Calls, including Calls made by Agents whose Agent Configuration the Customer published or approved; (b) the Customer's lack of a lawful basis, consent or license, or any breach of section 9 or the Acceptable Use Policy; (c) AI Output, or decisions or actions based on it; (d) acts, omissions and outages of telephony providers, carriers and other third parties not engaged by N32, or charges billed by them; or (e) unauthorized access to the Workspace resulting from the Customer's failure to protect its credentials or email accounts.
23.5. Nothing in the Agreement limits or excludes: (a) liability for damage caused intentionally (Article 473 §2 of the Polish Civil Code); (b) liability for death or personal injury; or (c) any other liability that cannot be limited or excluded under mandatory law, including the protections of a Customer covered by section 3.4.
23.6. The Customer must notify N32 of any claim without undue delay after learning of the event giving rise to it, to allow N32 to limit the damage.
24Customer liability and holding N32 harmless
24.1. The Customer must redress in full any damage suffered by N32, including fines, penalties, compensation and settlement amounts paid, and reasonable legal, court and expert costs, arising out of or in connection with: (a) the Customer's Calls, their content, and the Agent Configurations, knowledge base and instructions published, approved or provided by the Customer or prepared by N32 at its request; (b) Customer Data, including contact lists, and its collection and use; (c) any lack of consent or lawful basis to call, record, transcribe or analyze a Contact, or any breach by the Customer of telemarketing, do-not-call, call recording, AI or automated call disclosure, caller ID, data protection or consumer protection laws; (d) the Customer's telephony account and numbers; (e) any breach of the Agreement, including the Acceptable Use Policy, by the Customer or its Authorized Users; or (f) any infringement of third-party rights by Customer Data or the Customer's brand materials.
24.2. Holding N32 harmless. If a third party or an authority makes a claim or brings proceedings against N32 concerning any matter listed in section 24.1, the Customer undertakes to release N32 from the obligation to perform towards that third party or authority (Article 392 of the Polish Civil Code). At N32's request, the Customer must in particular: (a) satisfy the claim directly, or reimburse N32 immediately for any amount N32 has paid; (b) join the proceedings on N32's side, or take them over where procedural law allows, at the Customer's cost; and (c) give N32 all information and documents it needs to defend itself, including records of consent and do-not-call checks.
24.3. N32 will inform the Customer of a claim within a reasonable time. The Customer must not settle a claim in a way that imposes any obligation or admission on N32 without N32's prior written consent.
24.4. The Customer is liable under this section regardless of fault, which the parties agree under Article 473 §1 of the Polish Civil Code. The Customer's liability under this section is not limited by section 23.
24.5. The obligations in this section also benefit N32's management board members, employees and subcontractors, who may rely on them directly (Article 393 of the Polish Civil Code).
25Force majeure
25.1. N32 is not liable for any failure or delay caused by events beyond its reasonable control, including natural disasters, epidemics, war, terrorism, civil unrest, government acts, sanctions, changes in law or regulatory requirements, strikes, failures of electricity, internet or telephony networks, cyberattacks, and outages, changes or withdrawal of services by N32's technology or infrastructure providers.
25.2. Force majeure does not excuse the Customer's obligation to pay. If a force majeure event prevents N32 from providing the Service for more than 60 days in a row, either party may terminate the Agreement by notice, without liability and without refund.
26Changes to the Agreement
26.1. N32 may change these Terms, the Acceptable Use Policy and the Data Processing Agreement during the term of the Agreement only for one or more of the following important reasons, and only to the extent the reason requires: (a) a change in, or the entry into force of, generally applicable law that affects the Agreement or the Service; (b) a binding decision, judgment, order or recommendation of a court or public authority, including a data protection or telecommunications authority, that affects N32 or the Service; (c) a change in the terms, prices or availability of the services of N32's technology, infrastructure, telephony or payment providers that N32 uses to provide the Service; (d) the introduction of new features or services, or the change or withdrawal of existing features, in line with section 5.5; (e) the need to counter security threats, fraud or abuse identified while providing the Service; (f) a change in N32's costs of providing the Service, in particular provider costs, inflation or exchange rates, as a reason for price changes under section 11.8; (g) the correction of obvious errors, typos or ambiguities, without worsening the Customer's position; or (h) a change in N32's name, address, contact details or legal form.
26.2. N32 will notify the Customer of each change by email to the account owners and in the Service at least 30 days before the change takes effect, with the new text and the reason. A change may take effect earlier only if a law or authority requires it within a shorter period (in which case N32 gives as much notice as possible), or if it is exclusively beneficial to the Customer.
26.3. Right to terminate. If the Customer does not accept a change, it may terminate the Agreement by notice to info@crang.ai, or by cancelling in the billing portal, before the change takes effect. In that case the Agreement ends at the end of the current paid Subscription Period, and the previous version continues to apply to the Customer until then, except changes required by law. No refund is given.
26.4. If the Customer does not terminate under section 26.3, the change binds it from the day it takes effect.
27Complaints
27.1. Complaints about the Service can be sent to support@crang.ai and should describe the problem and the Workspace concerned.
27.2. N32 will respond to a complaint within 30 days after receiving it. A complaint does not suspend the Customer's payment obligations.
28Notices
28.1. Notices to N32 must be sent by email to info@crang.ai. Notices to the Customer may be sent to the email address of any account owner, or shown in the Service.
28.2. An email notice is received when it is sent, unless the sender receives a delivery failure message.
29Publicity
29.1. N32 may name the Customer or use its name or logo as a customer reference only with the Customer's prior consent, which may be given by email.
30General
30.1. Assignment. The Customer may not assign or transfer the Agreement or any rights or obligations under it without N32's prior written consent. N32 may assign or transfer the Agreement, in whole or in part, to an affiliate or to a successor in a merger, acquisition, reorganization or sale of all or part of its business, by notice to the Customer. The Customer consents in advance to such assignment or transfer, including the transfer of debts and the contract as a whole.

30.4. Severability. If any provision of the Agreement is held invalid or unenforceable, the rest of the Agreement remains in force, and the provision is replaced by a valid provision that comes closest to its original purpose.
30.5. Entire agreement. The Agreement is the entire agreement between the parties about its subject and replaces all prior proposals, statements and agreements. The Customer's purchase orders or terms do not apply, even if N32 does not object to them. In case of conflict, the following order applies: a written agreement signed by N32, the DPA for matters of personal data processing, these Terms, the Acceptable Use Policy, the Order.
30.6. No waiver. A failure or delay by N32 to enforce a right is not a waiver of it.
30.7. Independent parties. The parties are independent contractors. Nothing in the Agreement creates a partnership, joint venture, agency or employment relationship, except the authorization in section 8.1.
30.8. No third-party rights. No third party has rights under the Agreement, except the persons protected under section 24.
30.9. Language. The Agreement is drawn up in English. If it is translated, the English version prevails.
